Company formation in Croatia

We help you choose between a d.o.o., a j.d.o.o. and an obrt (sole trader), take you through registration and set up the books from day one. Most cases are done in a matter of days.

What is included

From the first question to the first invoice, in English.

Choosing the legal form

d.o.o., j.d.o.o., obrt or the flat-rate paušalni obrt, compared against your planned income and costs before anything is registered.

Registration

Registration, tax numbers and bank account paperwork, in the right order of steps.

Share capital

A j.d.o.o. needs at least 1 € of share capital, a d.o.o. at least 2,500 €. We explain what each means for profit and reserves.

The director

Whether the director is employed by the company or not, and how they are insured either way.

Books from day one

Bookkeeping, VAT position and e-invoicing under Croatia's Fiscalisation 2.0 rules, set up before the first invoice.

From obrt to d.o.o.

When a sole trader outgrows the obrt, we prepare the move to a company without a break in business.

What our clients say

★★★★★
“We're thrilled to work with the guys (the two Filips) at Lapis Lazuli Accounting. Before them, we changed two accounting firms in a short time because we couldn't find the right service, and we were also moving to e-računi.hr. The Filips took the load off us with their proactivity, clear guidance on all kinds of questions, their expertise of course, and their overall timeliness and availability. Full praise and a warm recommendation!”

“I'm extremely happy with Lapis Lazuli Accounting. Besides their expertise, reliability and clear, prompt communication, I'd especially point out that the LL team finds solutions quickly and suggests process improvements on their own initiative. I feel much lighter since I started working with them, and I'm glad I found partners who aren't just operators but advisors.”

“I haven't been working with them for long, but I can already say that, so far, they really work fast and professionally, and their answers come on time and are clear even for a layman like me!”

Questions about company formation

Can a foreigner open a company in Croatia?

Yes. EU citizens can register directly; non-EU citizens usually need a residence permit, which is often tied to the business itself. We walk you through the right order of steps.

How long does it take?

It depends on the legal form, but in most cases formation can be done within a few days.

d.o.o. or j.d.o.o.?

A j.d.o.o. needs at least 1 € of share capital and must set aside a quarter of its profit into legal reserves; a d.o.o. needs at least 2,500 € and gives more freedom in the number of founders and profit distribution. A j.d.o.o. is enough to start; converting to a d.o.o. is possible later.

Do I have to be in Croatia to register?

Usually yes, once: founding a company needs one visit to a notary public in Croatia. Founding is also possible online through the state START platform (start.gov.hr). We tell you which route fits your case, and everything after that, from bookkeeping to payroll and tax, works remotely in English.

How much does formation cost?

Formation is a one-off service with its own quote before we start. Monthly bookkeeping for companies starts at 130 € and for sole traders at 70 €.
